Question about this card "choose and kill 1 character" this character can be satified with any chacater in game, one I control, or one my opponent control, even one opponent that hasn't been involved in challenge ?

Thank you in advance
Yes that is correct. You can kill any character, including your own or an opponents character that isn't in the challenge.

Isn't this a very, very good card? You can just leave the challenge unopposed when you opponent is attacking with STR 4 or more and just kill his characters. Maybe even 3 per round in this way?

Is there any downside with this card?
The downside is he is an ally, that costs 4 gold, and there is a lot of ally-hate in this game (Dissension (QoD), Ser Jorah Mormont (WLL), Ser Arys Oakheart (PotS), Varys (SaS)).

ah allright. We are playing with the core set decks and added house martel and made a deck with the same amount of cards as the default core decks. But probably those decks don't have that much 'ally-hate' cards? So in this case you can probably better leave it out then?

Exactly, if you are playing with core set and martell expansion I suggest you use heim and have fun :)
On the other hand, if you ever buy any other chapter pack and get deeper into the game, at a certain point you'll realize how much it sucks to see a 4-gold guy being easily discarded :D
who acts first? his response or Robb stark'one (core) .
does it dependends on initiative?
First player gets to respond first.

Note that even if Robb's response is used first and kills Areo Hotah, Hotah's response can still be used to kill something (like Robb). Same if it is the other way around.

Yes, due to the moribund state. Check the timing charts in the FAQ (I think page 21ish) for details. Neither card will leave play until step 6.

But you have to kneel Areo Hotah, can you kneel a character that is moribund?

You can. That's what moribund is for.
